  • Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

The licence is personal to you, and may not be assigned, transferred or sub-licensed to any other person. Without limiting the generality of the foregoing, you may not make any commercial use of the Website, include the Website in or with any product that you create or Distribute, or copy the Website onto your, or any other person’s, website. ANY USE OF THE SERVICE, OTHER THAN AS SPECIFICALLY AUTHORIZED UNDER THESE TERMS AND CONDITIONS, WITHOUT THE PRIOR WRITTEN CONSENT OF THE COMPANY, IS STRICTLY PROHIBITED AND WILL TERMINATE THE LICENCE. THE LICENCE IS REVOCABLE BY THE COMPANY AT ANY TIME WITHOUT NOTICE AND WITH OR WITHOUT CAUSE.

You undertake to use the Website in accordance with its intended purpose, the provisions of the Polish law , social and moral standards and the provisions of these Terms and Conditions. You are obliged to verify whether, in the light of his law, the use of materials posted on the Website complies with his national law, in particular does not infringe the intellectual property rights of third parties. You undertake that when third parties make claims against the Administrator for infringement of intellectual property rights in connection with your actions, You will join the case in place of the Administrator or join the case as an incidental intervener and will take over all costs of possible court proceedings, costs of legal representation and awarded or settled damages.

User Accounts

When You create an account with Us, You must provide Us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account on Our Service.

You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password, whether Your password is with Our Service or a Third-Party Social Media Service.

You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Standard accounts are for individual usage. You agree not to share your account with any other person unless your account is a group account or institution account, set up under separate arrangements with ESL Brains. In the event of a breach of the above prohibition, ESL Brains has the right to disable your Subscription without full or partial refund of the subscription costs.

The use of an individual account by schools or commercial companies within the meaning of the Polish Commercial Companies Code is prohibited. In the event of a breach of the above prohibition, ESL Brains will impose a contractual penalty of USD 1000 on the entity using the individual account for each case of violation.

By registering, You agree to be fully responsible for all activities that occur under your username and password.

You are required to immediately and unambiguously inform Us via the contact details indicated in this document, if you think your personal information, including but not limited to your account, access credentials or personal data, have been violated, unduly disclosed or stolen.

Account suspension and deletion

ESL Brains reserves the right, at its sole discretion, to suspend or delete at any time and without notice, accounts which it deems inappropriate, offensive or in violation of these Terms.

The suspension or deletion of user accounts shall not entitle You to any claims for compensation, damages or reimbursement.

The suspension or deletion of accounts due to causes attributable to You does not exempt You from paying any applicable fees or prices.

Payments and subscriptions

Prices

Users are informed during the purchasing process and before order submission, about any fees, taxes and costs (including, if any, delivery costs) that they will be charged. Prices on this Website are displayed including all applicable fees, taxes and costs.

Methods of payment

Information related to accepted payment methods are made available during the purchasing process.

Some payment methods may only be available subject to additional conditions or fees. In such cases related information can be found in the dedicated section of this Website.

All payments are independently processed through third-party services. Therefore, this Website does not collect any payment information – such as credit card details – but only receives a notification once the payment has been successfully completed.

If payment through the available methods fail or is refused by the payment service provider, the Owner shall be under no obligation to fulfil the purchase order. Any possible costs or fees resulting from the failed or refused payment shall be borne by You.

Subscription period

The Service or some parts of the Service are available only with a paid Subscription. You will be billed in advance on a recurring and periodic basis (monthly or annually), depending on the type of Subscription plan you select when purchasing the Subscription.

At the end of each period, Your Subscription will automatically renew under the exact same conditions unless You cancel it or the Company cancels it.

Purchasing the Subscription entitles you to use the materials only while the Subscription is active.

Subscription cancellations

You may cancel Your Subscription renewal either through Your Account settings page or by contacting the Company. You will not receive a refund for the fees You already paid for Your current Subscription period and You will be able to access the Service until the end of Your current Subscription period.

Billing

You shall provide the Company with accurate and complete billing information including full name, address, state, zip code, and a valid payment method information.

Fee Changes

The Company, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Subscription period.

The Company will provide You with reasonable prior notice of any change in Subscription fees to give You an opportunity to terminate Your Subscription before such change becomes effective.

Your continued use of the Service after the Subscription fee change comes into effect constitutes Your agreement to pay the modified Subscription fee amount.

Refunds

Except when required by law, paid Subscription fees are non-refundable.

Certain refund requests for Subscriptions may be considered by the Company on a case-by-case basis and granted at the sole discretion of the Company.

Authorization for future PayPal payment

If You authorize the PayPal feature which allows future purchases, this Website will store an identification code linked to the Your PayPal account. This will authorize this Website to automatically process payments for future purchases (recurring subscriptions).

This authorization can be revoked at any time, either by contacting ESL Brains or by changing the user settings offered by PayPal.

Intellectual Property

The Service and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of the Company and its licensors. Purchasing a subscription does not transfer any intellectual property rights to the subscriber, in particular it does not transfer any personal property or proprietary copyrights to the subject of the subscription. In particular, the subscriber has no right to make the materials publicly available in the original or changed versions, except for sharing the materials with their students in a closed and private network environments.

The Service is protected by copyright, trademark, and other laws of both the Country and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.

Rights regarding content on this Website – All rights reserved

ESL Brains holds and reserves all intellectual property rights for any such content. You may not therefore use such content in any way that is not necessary or implicit in the proper use of the Service. In particular, but without limitation, You may not copy, download, share (beyond the limits set forth below), modify, translate, transform, publish, transmit, sell, sublicense, edit, transfer/assign to third parties or create derivative works from the content available on this Website, nor allow any third party to do so through You or their device, even without the your knowledge.

Where explicitly stated on this Website, You may download, copy and/or share some content available through this Website for its sole personal and non-commercial use and provided that the copyright attributions and all the other attributions requested by the Owner are correctly implemented.

You cannot edit the ESL Brains’ materials, except for the so-called ‘e-lesson plans’ and editing the ‘e-lesson plans’ requires keeping the ESL Brains logo and template, so that the authorship of the materials is clearly visible.

Any applicable statutory limitation or exception to copyright shall stay unaffected.

Access to External Resources

Through this Website ,you may have access to external resources provided by third parties. You acknowledge and accept that ESL Brains has no control over such resources and is therefore not responsible for their content and availability.

ESL Brains use the services of other entities, in particular YouTube, Vimeo, TED Talk, as well as Google services, including Google Slides. ESL Brains does not guarantee the availability of the above-mentioned services and is not responsible for the lack of availability of services of other entities, interruption in their delivery, loss of data caused by the use of services of other entities. In the case of broken embedded or linked video files, the Administrator will replace broken links, if possible.

Conditions applicable to any resources provided by third parties, including those applicable to any possible grant of rights in content, result from each such third parties’ terms and conditions or, in the absence of those, applicable statutory law.

Your Feedback to Us

You assign all rights, title and interest in any Feedback You provide the Company. If for any reason such assignment is ineffective, You agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.

Our Service may contain links to third-party web sites or services or embedded media that are not owned or controlled by the Company.

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven’t purchased anything through the Service.
